Laos Regulatory Update | Investment approval and business licensing under MAE Decision No. 3541

Legal basis: Decision on the Implementation Mechanism for Investment Affairs under the Ministry of Agriculture and Environment No. 3541/MAE, dated 12 August 2026.

I. Overview

Decision No. 3541/MAE establishes a unified regulatory and coordination framework for investment applications, business licences and factory establishment permits within the Ministry of Agriculture and Environment's remit.

It establishes a centralised one-stop mechanism. The Ministry's Office acts as the principal coordinating body for controlled business activities and concession activities, with clear administrative deadlines for document checks, interdepartmental consultation and approval by competent officials.

The Decision divides business licence approval into two paths:

General business licences are valid for two years.

The Decision also standardises the establishment of agricultural and forestry processing factories. Following construction and a successful inspection, a factory receives an operating certificate valid for three years.

The Decision takes effect on 29 September 2026 and expressly replaces relevant administrative rules applied separately in the former agricultural and environmental sectors since 2022, bringing the procedures within the Ministry's current remit.

II. Brief commentary

The Decision imposes strict, practical time limits for administrative review:

These provisions give legal practitioners a clear statutory basis for requesting timely government responses during due diligence and licensing procedures.

The strict validity periods also require businesses to establish a system for monitoring licence expiry dates.

Business licences are valid for two years and must be renewed 30 days before expiry; otherwise, they lose legal effect.

Factory operating certificates are valid for three years and must likewise be renewed upon expiry.

For projects involving state land leases or concessions, Article 8 standardises land surveying and project-area verification procedures.

Notably, a further site inspection is unnecessary where a project merely adds mineral types during an already approved exploration phase, or changes shareholders within an already approved project area. This can simplify corporate restructuring and project expansion.
